Install Exchange SP2.....

Question: A dumb question...but it is better to clarify then to regret later....

As it is single server scenario, on the server the hardrive is partitioned....
C: drive is 20GB and has Windows 2003 server std edition SP1 (OS) installed on it
D: drive is 60GB and has Exchange 2003 server std edition SP1 installed on it.

in order to install the SP2 for exchange, i should download E3SP2ENG.exe file from MS site, on D: drive OR C: drive OR it doesn't matter....

It doesn't matter. You can store it anywhere
